Terms of Service
1. Who we are; agreement to these Terms
hellojade is a digital services product of Uplevel Digital Services, LLC, an Illinois limited liability company ("Uplevel," "we"). These Terms, together with your order form or checkout page (your "Order"), govern your subscription. Paying your first invoice, completing checkout, or continuing to receive services constitutes acceptance of these Terms. Where your Order states special terms, those control over these Terms.
2. Services
Your subscription includes the services itemized on your Order (for example: website build and management, ad campaign management up to a stated monthly ad-spend cap, hellojade agent services, Google Business Profile support, platform integrations, and creative production). Itemized quantities are monthly allowances; unused allowances do not roll over. Work beyond the ordered scope requires a new order and may carry a setup fee.
3. Fees, billing, and renewal
- Your subscription fee and billing frequency are stated on your Order and on the checkout page before you pay. Fees are billed automatically each month on the day-of-month your subscription started (clamped to the last day of shorter months), due on receipt, charged to your stored payment method (bank account/ACH or card).
- Your subscription renews automatically each month until canceled.
- Ad spend is separate from our fee: you fund advertising accounts directly with the ad platforms (Facebook/Meta, Google, Microsoft). Our management covers spend up to the cap on your Order; sustained spend above the cap moves you to the next management tier by agreement.
- One-time setup fees are non-refundable once work begins. If a setup fee was waived in exchange for an initial term, the waived amount becomes payable pro-rata on cancellation before that term completes.
4. Cancellation
Cancel anytime by email to ar@hellojade.ai (or any cancellation mechanism we provide online), effective at the end of your current paid billing period. No further charges after that date. Fees for the current period are non-refundable. See the Cancellation & Refund Policy.
5. Late payment and suspension
If payment fails or is past due more than 10 days after notice, we may suspend services (including website hosting) until the balance is paid. Amounts owed survive suspension and cancellation. Accepting a partial or discounted payment does not waive the remaining balance.
6. Your content and site ownership
You own your business content, your domain, and your customer data. On cancellation with your account paid in full, we will provide your website content and reasonable handover assistance for 30 days. Our platform code, tools, and know-how remain ours; you receive a license to deliverables for your business use. Hosting ends on your cancellation effective date.
7. Accounts and access
You grant us the access needed to perform the services (ad accounts, Google Business Profile, domain/DNS, analytics). We act on your behalf in those platforms and follow their policies; platform decisions (e.g., ad disapprovals, ranking changes) are outside our control.
8. No guarantee of results
We provide professional services with skill and care. We do not guarantee specific marketing outcomes — rankings, lead volume, ad performance, or revenue.
9. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the fees you paid in the three (3) months before the claim arose, and neither party is liable for indirect, incidental, or consequential damages. Nothing here limits liability that cannot be limited by law.
10. Term, changes, governing law
These Terms apply while you have an active subscription. We may update them with notice to your billing email; changes apply from your next renewal. Illinois law governs; exclusive venue is the state or federal courts located in DuPage County, Illinois.
